SparkThis provides a reverse crowdfunding platform where users can post ideas, vote on projects, pool funds, and connect with teams to bring products to market. We reserve the right to modify or discontinue the service at any time without notice.

3. User Responsibilities

3.1 Account Registration

Users must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Idea Submission

When posting ideas, you warrant that:

• You own or have the rights to the content you submit
• Your idea does not infringe on any third-party intellectual property rights
• Your submission complies with all applicable laws and regulations
• Your content does not contain offensive, harmful, or illegal material

3.3 Voting and Funding

When voting on projects and pledging funds, you understand that:

• Your financial pledge represents a binding commitment
• Funds may be collected when a project reaches fundable status
• Refund policies are subject to project-specific terms
• There is no guarantee that any project will be completed

4. Intellectual Property

By submitting an idea to SparkThis, you grant the platform a non-exclusive license to display, promote, and facilitate the development of your concept. Idea creators retain ownership of their intellectual property but agree to share development rights with selected teams.

4.1 Royalties

Idea creators are entitled to receive 5% of pooled funds plus ongoing royalties as specified in project-specific agreements. Royalty terms will be negotiated between idea creators and development teams.

5. Financial Terms

5.1 Payment Processing

All financial transactions are processed through secure third-party payment processors. SparkThis is not responsible for any payment processing errors or disputes.

5.2 Fees

SparkThis may charge platform fees on successful project funding. Fee structures will be clearly disclosed before any financial commitments are made.

6. Privacy and Data Protection

Your use of SparkThis is also governed by our Privacy Policy. We collect and use personal information as described in that policy. We take reasonable measures to protect your data but cannot guarantee absolute security.

7. Prohibited Activities

Users may not:

• Post fraudulent, misleading, or deceptive content
• Engage in any form of market manipulation
• Harass, threaten, or abuse other users
• Attempt to gain unauthorized access to the platform
• Use automated systems to manipulate voting or funding
• Submit content that violates copyright, trademark, or other IP rights

8. Limitation of Liability

SparkThis and AEMC Technologies, LLC provide this platform "as is" without warranties of any kind. We are not liable for any damages arising from your use of the service, including but not limited to financial losses, project failures, or data breaches. Our total liability is limited to the amount of fees you have paid to use the platform.

9. Dispute Resolution

Any disputes arising from these terms or your use of SparkThis shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

10. Modifications to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the platform constitutes acceptance of modified terms.

11. Termination

We may terminate or suspend your account at any time for violations of these terms or for any other reason at our discretion. You may terminate your account by contacting customer support.

12. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
